
These Terms of Service (“Terms”) govern your access to and use of the websites, memberships, subscriptions, content, communications, and services operated by Key Bridge Networks LLC (“Key Bridge,” “we,” “us,” or “our”), including thekeybridge.com and any related offerings (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you should not access or use the Services. Our Privacy Policy and Legal Disclaimer are incorporated by reference and form part of these Terms.
Key Bridge operates a membership-based consulting and advisory service focused on supporting business decision-making, development, and improvement across a range of professional, strategic, and operational contexts. The Services are intentionally open-ended and may include analysis, perspectives, research, frameworks, discussions, communications, introductions, resource identification, facilitation, coordination with third parties, or other forms of advisory support that Key Bridge determines appropriate in its discretion.
The scope, format, nature, and availability of the Services may evolve over time. No specific deliverable, output, cadence, level of engagement, execution responsibility, or result is promised or guaranteed unless expressly agreed in writing. Key Bridge may, but is not obligated to, assist with any request or opportunity and retains full discretion to determine whether, how, when, and to what extent it engages in any matter.
Key Bridge determines the manner, timing, format, and scope of its participation in the Services. While Key Bridge may make itself available through briefings, written communications, discussions, or other formats, it is not obligated to adhere to any member’s internal policies, procedures, schedules, meeting requirements, or governance processes. Key Bridge may decline to pursue or engage on any request, opportunity, or matter for any reason, without obligation or explanation.
Membership in Key Bridge is offered on a discretionary basis and is available only to individuals or entities capable of forming legally binding agreements. Access to the Services is personal to the member and may not be shared or transferred except as expressly permitted by Key Bridge.
Memberships may include more than one authorized user. Members may modify the number of users associated with a membership from time to time. Changes in user count may result in additional registration fees or adjusted membership dues, as determined by Key Bridge. Members are responsible for all activity conducted through their accounts and for maintaining the confidentiality of login credentials.
Key Bridge retains sole discretion over the admission, continuation, scope, and structure of membership relationships. Memberships are subject to review at any time, and Key Bridge may suspend, limit, or terminate a membership or access to the Services at any time, for any reason or no reason, with or without notice.
Key Bridge may charge a one-time registration or enrollment fee in connection with the initiation of a membership. Registration or enrollment fees are charged in advance and are non-refundable unless expressly agreed otherwise in writing.
Membership dues are charged in advance for access to the Services and the ongoing membership relationship. Dues are determined and adjusted at Key Bridge’s discretion and are not tied to specific deliverables, time commitments, transactions, or outcomes. While adjustments are typically made at renewal or on a periodic basis, Key Bridge reserves the right to modify pricing or fee structures at other times as it deems appropriate. Continued participation in the Services following any adjustment constitutes acceptance of the updated terms. Additional fees may apply for third-party goods or services.
The Services may include communications, discussions, briefings, and other exchanges. Response times, availability, and participation levels are not guaranteed. Any availability communicated by Key Bridge does not create an obligation to respond, follow up, attend meetings, or participate on any specific schedule.
Communications between you and Key Bridge through the Services are treated as confidential in accordance with the Privacy Policy. Key Bridge will not disclose member communications except as necessary to provide the Services, as required by law, or in aggregated or anonymized form that does not identify the member.
You authorize Key Bridge, at its discretion, to communicate with third parties, make introductions, seek information, explore opportunities, or otherwise engage in activities related to your interests, whether at your request or as Key Bridge independently determines appropriate.
Where a member’s needs require services subject to professional licensure or regulation, Key Bridge may assist in identifying or coordinating with appropriately licensed professionals. Such professionals provide their services independently and are responsible for their own advice, work, and compliance with applicable laws. Key Bridge does not control third parties and is not responsible for their performance, conduct, or outcomes.
Key Bridge does not accept fees, commissions, referral payments, kickbacks, or other compensation from third-party providers in connection with recommendations, introductions, sourcing, or third-party deliverables, unless expressly disclosed and agreed in writing.
As between you and Key Bridge, you retain ownership of your confidential information, internal materials, and any decisions, implementations, or outcomes resulting from your use of the Services.
Key Bridge retains all right, title, and interest in its platforms, systems, methodologies, frameworks, analyses, research, content, and materials made available through the Services, whether developed before or during your membership. Nothing in these Terms shall be construed as a work made for hire, assignment, or transfer of ownership of Key Bridge intellectual property.
Unless expressly agreed in a separate written agreement signed by both parties, no communication, analysis, material, or support provided through the Services creates ownership rights beyond those stated here. Key Bridge may use general knowledge, experience, skills, and insights gained through its work, provided that confidential information is not disclosed or used in a manner that identifies a member.
The Services are provided on a non-exclusive basis. Key Bridge may work with, advise, or support multiple members or third parties simultaneously, including those operating in the same, related, or competing markets, industries, or geographies. You waive any claim arising solely from Key Bridge’s provision of services to others, provided that Key Bridge does not knowingly disclose your confidential information or use it in a manner that identifies you.
The Services are provided on an “as is” and “as available” basis. Key Bridge does not guarantee that the Services will be uninterrupted, error-free, secure, or that any particular outcomes or results will be achieved.
To the maximum extent permitted by law, Key Bridge shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.
Key Bridge’s total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total membership dues paid by you for the most recent quarter preceding the event giving rise to the claim. You acknowledge that this limitation reflects a fair allocation of risk and is a fundamental basis of the agreement.
You agree to indemnify and hold harmless Key Bridge and its officers, directors, employees, affiliates, and agents from any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Services, your reliance on any information, perspectives, introductions, facilitation, or assistance provided through the Services, or any decisions, actions, or outcomes resulting therefrom, including claims asserted by third parties.
Before initiating arbitration, the parties agree to attempt to resolve any dispute informally by providing written notice and allowing thirty (30) days for resolution.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator seated in Maryland. Class, collective, or representative actions are not permitted.
Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property. The Federal Arbitration Act governs this section.
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.
These Terms, together with the Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and Key Bridge regarding the Services and supersede all prior or contemporaneous agreements. No reliance is placed on any statement, representation, or understanding not expressly set forth in these Terms. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
